Terms of Service

PLEASE READ THESE TERMS OF SERVICE ("TERMS") CAREFULLY BEFORE ACCESSING OR USING THE LEARN TAGALOG PLATFORM.

These Terms constitute a legally binding agreement between United Lanes LLC, doing business as Learn Tagalog ("Company," "we," "us," or "our"), located in Lincoln, Lancaster County, Nebraska, USA, and you ("User," "you," or "your"). By accessing, browsing, or using the website located at learntagalog.co (the "Site") or any related services, applications, or features (collectively, the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease all use of the Platform.

The Platform operates as a two-sided marketplace connecting native Filipino tutors ("Tutors") with students ("Students") who wish to learn the Tagalog language. Learn Tagalog is a technology facilitator only; we do not employ, supervise, endorse, or control Tutors, nor do we provide language instruction, educational certification, or fluency guarantees.

1. ELIGIBILITY & ACCOUNT REGISTRATION

1.1 Age Requirements

You must be at least thirteen (13) years old to use the Platform. If you are between the ages of 13 and 17 ("Minor"), you represent that you have obtained verifiable parental or guardian consent to use the Platform, and that your parent or guardian has agreed to these Terms on your behalf. Learn Tagalog reserves the right to request proof of parental consent at any time and may suspend or terminate accounts that cannot provide such verification.

1.2 Account Responsibility

To access certain features of the Platform, you must register for an account ("Account"). You agree to:

  • Provide accurate, current, and complete information during registration;
  • Maintain and promptly update your Account information;
  • Maintain the security of your password and authentication credentials;
  • Accept responsibility for all activities that occur under your Account; and
  • Notify us immediately at support@learntagalog.co of any unauthorized use or security breach.

Learn Tagalog is not liable for any loss or damage arising from your failure to comply with this section.

1.3 One Account Per User

You may maintain only one Account per individual. Creating multiple Accounts to exploit promotional offers, manipulate the credit system, or circumvent Platform rules is prohibited and may result in immediate termination.

2. PLATFORM NATURE & INDEPENDENT CONTRACTOR STATUS

2.1 Marketplace Facilitator Only

Learn Tagalog is a technology platform that facilitates connections between independent Tutors and Students. We are not:

  • An educational institution, language school, or accredited provider;
  • An employer, agent, joint venturer, or partner of any Tutor or Student;
  • A guarantor of Tutor qualifications, teaching quality, lesson outcomes, or Student progress;
  • Responsible for the conduct, content, or legality of interactions between Users.

2.2 Tutors Are Independent Contractors

All Tutors on the Platform are independent contractors, not employees of Learn Tagalog or United Lanes LLC. Tutors:

  • Set their own lesson rates (within the $10.00–$20.00 USD range per 45-minute lesson);
  • Control their own schedules, availability, teaching methods, and curriculum;
  • Are solely responsible for their tax obligations, business licenses, and compliance with laws in the Philippines;
  • Bear full responsibility for the content, quality, and safety of their instruction.

By using the Platform, you expressly acknowledge and agree that Learn Tagalog shall not be liable for any claims, damages, losses, or expenses arising from a Tutor's actions, omissions, instruction quality, or professional conduct.

3. STUDENT MECHANICS: SUBSCRIPTIONS, CREDITS & CANCELLATIONS

3.1 Free Introductory Lesson

New Students are eligible for one (1) free 30-minute introductory lesson with any Tutor of their choice. No credit card is required to book this lesson. The free lesson is for evaluation purposes only and does not constitute a commitment to purchase a subscription.

3.2 Subscription Plans & Credits

Learn Tagalog operates on a recurring monthly subscription model. Students select a plan based on lessons per week (1, 3, or 5 lessons). Upon successful payment:

  • Students receive "Credits" equal to the number of lessons in their plan for that billing cycle (e.g., 4 Credits for a 1-lesson/week plan).
  • 1 Credit = 1 forty-five (45) minute lesson with a Tutor of the Student's choice.
  • Credits are non-transferable, non-cashable, and redeemable solely for lessons on learntagalog.co.
  • Unused Credits roll over to the next billing cycle but expire thirty (30) days after the original billing date.

3.3 Pricing & Payment

  • Tutors set their own rates between $10.00 and $20.00 USD per 45-minute lesson.
  • The total subscription cost is calculated as: (Tutor's Selected Rate) × (Number of Credits in Plan).
  • All payments are processed securely via Stripe, Inc. ("Stripe"). Learn Tagalog does not store or process raw credit card data.
  • By subscribing, you authorize Learn Tagalog and Stripe to charge your payment method on a recurring monthly basis until you cancel.

3.4 Student-Favorable Cancellation & Credit Restoration Policy

Learn Tagalog prioritizes Student flexibility and satisfaction. Our cancellation policy is as follows:

Student switches TutorsRemaining Credits are converted to a Stripe Discount Coupon of equivalent value, redeemable only with the new Tutor at checkout. Coupons are non-transferable and non-cashable.

Important Clarifications:

  • Credit restoration is a platform credit, not a cash refund to your original payment method.
  • Credits have no monetary value outside the Platform and cannot be exchanged for cash, gift cards, or third-party services.
  • Learn Tagalog reserves the right to investigate and adjust Accounts that demonstrate patterns of abusive cancellation or credit manipulation (see Section 9).

3.5 Subscription Cancellation & Termination

Students may cancel their recurring subscription at any time via their Account dashboard. Cancellation takes effect at the end of the current billing cycle; no partial refunds are provided for unused time within a cycle. Upon cancellation:

  • Access to future lessons ends at cycle expiration;
  • Unused Credits remain available until their 30-day rollover expiration date;
  • Account data is retained per our Privacy Policy.

4. TUTOR MECHANICS: APPLICATION, PAYOUTS & RESPONSIBILITIES

4.1 Application & Approval

Prospective Tutors must submit an application, including an introductory video and professional background. Learn Tagalog reserves the sole right to approve or reject applications at its discretion. Approval does not constitute employment or endorsement.

4.2 Payouts via Stripe Connect

  • Tutors receive 60% of the lesson fee; Learn Tagalog retains 40% as a marketplace facilitation fee.
  • Payouts are processed via Stripe Connect (Express). Tutors must complete Stripe's KYC (Know Your Customer) onboarding to receive funds.
  • Payouts are generated only after a lesson is marked "completed" in the Platform. No payout is issued for canceled, no-show, or rescheduled lessons.
  • Payout timing follows Stripe's schedule (typically 2–7 business days post-lesson completion).

4.3 Tutor Representations & Warranties

By applying to the Platform, each Tutor represents and warrants that:

  • They are a native Tagalog speaker from the Philippines;
  • They are legally permitted to work as an independent contractor in their jurisdiction;
  • They will comply with all applicable Philippine tax, VAT, and business registration requirements;
  • They will not engage in fraudulent, deceptive, or illegal activity on or off the Platform.

4.4 Tutor Conduct & Termination

Learn Tagalog may suspend or terminate a Tutor's access immediately for:

  • Harassment, discrimination, hate speech, or sexual misconduct;
  • Fraud, misrepresentation, or circumvention of Platform fees;
  • Repeated no-shows or cancellations that disrupt Student experience;
  • Violation of these Terms or applicable law.

Termination decisions are at Learn Tagalog's sole discretion. Tutors may appeal termination by contacting support@learntagalog.co with supporting documentation.

5. IN-APP FEATURES & THIRD-PARTY SERVICES

5.1 Video Conferencing

Lessons are conducted via an integrated WebRTC provider (Daily.co). Video streams are encrypted and transmitted directly between Student and Tutor. Learn Tagalog does not record, store, or monitor lesson content unless required by law or to resolve a verified dispute.

5.2 Messaging System

The Platform provides a built-in text messaging system for communication between lessons. All messages are subject to monitoring for safety, fraud prevention, and compliance with these Terms.

5.3 Third-Party Services

The Platform relies on third-party services for critical functions:

  • Stripe: Payment processing, KYC, and payout facilitation;
  • Clerk: User authentication and Account management;
  • Daily.co: Video conferencing infrastructure;
  • Google Analytics, Meta Pixel: Site analytics and marketing optimization.

By using the Platform, you consent to the transmission of necessary data to these providers per their respective privacy policies. Learn Tagalog is not liable for the acts, omissions, or security practices of third-party service providers.

6. USER CONDUCT & PROHIBITED ACTIVITY

6.1 General Conduct

You agree not to:

  • Harass, abuse, threaten, or discriminate against any User;
  • Share sexually explicit, violent, illegal, or defamatory content;
  • Impersonate any person or entity, or misrepresent your affiliation;
  • Attempt to circumvent Platform security, authentication, or payment systems;
  • Use the Platform for commercial solicitation, spam, or unauthorized advertising.

6.2 Off-Platform Communication & Circumvention

You expressly agree not to:

  • Exchange personal contact information (email, phone, social media, physical address) with another User for the purpose of scheduling lessons or conducting transactions outside the Platform;
  • Accept or offer payment for lessons outside the Platform's payment system;
  • Solicit or divert Students or Tutors to competing platforms or direct arrangements.

Liquidated Damages for Circumvention:
In the event a User is found to have circumvented the Platform to avoid fees, you agree to pay Learn Tagalog liquidated damages equal to the greater of $250 USD or three (3) times the value of the circumvented transactions. This amount is a reasonable estimate of actual damages, which are difficult to calculate, and is not a penalty. This obligation survives termination of these Terms for twelve (12) months.

6.3 Minors & Safety

If you are interacting with a Minor (13–17), you agree to:

  • Maintain professional, age-appropriate communication;
  • Avoid private messaging outside scheduled lessons without parental consent;
  • Report any concerning behavior to support@learntagalog.co immediately.

Learn Tagalog reserves the right to monitor communications and terminate Accounts that violate minor safety protocols.

7. INTELLECTUAL PROPERTY & CONTENT LICENSES

7.1 Platform IP

All content, features, and functionality of the Platform—including but not limited to text, graphics, logos, software, and the "Learn Tagalog" brand—are the exclusive property of United Lanes LLC or its licensors and are protected by U.S. and international copyright, trademark, and other intellectual property laws.

7.2 User Content License

By uploading profile photos, introductory videos, testimonials, or other content ("User Content"), you grant Learn Tagalog a non-exclusive, royalty-free, worldwide, transferable, sublicensable license to use, reproduce, modify, adapt, publish, and display such content solely for:

  • Operating, promoting, and improving the Platform;
  • Marketing Learn Tagalog services (e.g., featuring Tutor profiles on the Site or in advertisements);
  • Complying with legal obligations.

This license terminates when you delete your User Content or close your Account, except for content already incorporated into promotional materials prior to deletion.

7.3 Lesson Materials Ownership

Tutors and Students retain ownership of original lesson materials they create (e.g., notes, worksheets, recordings). Each party grants the other a limited, non-exclusive license to use such materials solely for the purpose of the lesson and personal study. Learn Tagalog claims no ownership over user-created lesson content.

8. DISCLAIMERS & LIMITATION OF LIABILITY

8.1 "As-Is" Disclaimer

THE PLATFORM AND ALL CONTENT, SERVICES, AND FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. LEARN TAGALOG DOES NOT WARRANT THAT: (I) THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (II) TUTOR INSTRUCTION WILL MEET YOUR EXPECTATIONS OR RESULT IN FLUENCY; OR (III) THIRD-PARTY SERVICES (STRIPE, DAILY.CO, CLERK) WILL OPERATE WITHOUT FAILURE.

8.2 No Educational or Fluency Guarantees

Learn Tagalog is a technology marketplace, not an educational institution. We do not:

  • Guarantee learning outcomes, language proficiency, or academic credit;
  • Endorse or certify Tutor qualifications beyond basic identity and language verification;
  • Assume responsibility for a Student's progress, comprehension, or satisfaction.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UNITED LANES LLC, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM: (I) YOUR ACCESS TO OR USE OF THE PLATFORM; (II) TUTOR CONDUCT OR INSTRUCTION; (III) THIRD-PARTY SERVICE FAILURES; OR (IV) ANY UNAUTHORIZED ACCESS TO OUR SYSTEMS.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO LEARN TAGALOG IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100 USD), WHICHEVER IS GREATER.

8.4 Jurisdictional Variations

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

9. ACCOUNT MODIFICATION, SUSPENSION & TERMINATION

9.1 By Learn Tagalog

We reserve the right to suspend or terminate your Account or access to the Platform at any time, with or without notice, for conduct that we believe violates these Terms, is harmful to other Users, or is illegal. Examples include:

  • Fraud, chargeback abuse, or payment fraud;
  • Harassment, hate speech, or sexual misconduct;
  • Circumvention of Platform fees or off-platform transactions;
  • Serial cancellation patterns that disrupt Platform operations;
  • Violation of minor safety protocols.

9.2 By You

You may terminate your Account at any time by contacting support@learntagalog.co or via your Account settings. Upon termination:

  • Your right to use the Platform ceases immediately;
  • Unused Credits expire per Section 3.2;
  • Sections 7 (IP), 8 (Disclaimers), 10 (Dispute Resolution), 11 (General), and 12 (Contact) shall survive termination.

9.3 Abuse Prevention Reserve

Learn Tagalog reserves the right to limit, suspend, or restore Accounts that demonstrate patterns of abusive behavior—including but not limited to serial booking/cancellation, credit system manipulation, or circumvention attempts. Determinations are made at our sole discretion based on Platform logs, User reports, and administrative review. Such decisions are final and not subject to appeal.

10. DISPUTE RESOLUTION: ARBITRATION & CLASS ACTION WAIVER

10.1 Informal Resolution First

Before initiating any formal dispute, you agree to contact us at support@learntagalog.co to attempt informal resolution. We will respond within thirty (30) days.

10.2 Binding Arbitration

IF THE DISPUTE IS NOT RESOLVED INFORMALLY, YOU AND LEARN TAGALOG AGREE TO RESOLVE ANY CLAIM ARISING FROM THESE TERMS OR THE PLATFORM THROUGH BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") UNDER ITS CONSUMER ARBITRATION RULES, RATHER THAN IN COURT. JURY TRIALS AND CLASS ACTIONS ARE WAIVED.

  • Arbitration Venue: Lancaster County, Nebraska, USA.
  • Governing Law: These Terms and any dispute shall be governed by the laws of the State of Nebraska, without regard to its conflict of laws principles.
  • Small Claims Exception: Either party may bring an individual action in small claims court in Lancaster County, NE, if the claim qualifies.

10.3 Class Action Waiver

YOU AND LEARN TAGALOG AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. UNLESS BOTH PARTIES AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS.

10.4 30-Day Opt-Out Right

You may opt out of this arbitration agreement by sending an email to support@learntagalog.co with the subject line "Arbitration Opt-Out" within thirty (30) days of first accepting these Terms. Your opt-out must include your name, Account email, and a statement that you opt out of arbitration. If you opt out, the dispute resolution provisions in this Section 10 will not apply to you, and any dispute will be resolved in court as provided in Section 10.2.

11. GENERAL PROVISIONS

11.1 Modifications to Terms

Learn Tagalog reserves the right to modify these Terms at any time. We will provide notice of material changes via email to your Account address and/or an in-App banner at least thirty (30) days prior to the effective date. Continued use of the Platform after the effective date constitutes acceptance of the modified Terms. Material changes to fees, arbitration, or liability provisions require affirmative re-consent.

11.2 Force Majeure

Learn Tagalog shall not be liable for any delay or failure to perform due to causes beyond its reasonable control, including but not limited to: acts of God, war, terrorism, civil unrest, labor disputes, internet or utility failures, third-party service outages (Stripe, Daily.co, Clerk), or government actions.

11.3 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Learn Tagalog may assign these Terms in connection with a merger, acquisition, sale of assets, or other business transfer.

11.4 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be replaced with a valid provision that most closely reflects the original intent.

11.5 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Learn Tagalog regarding the Platform and supersede all prior or contemporaneous agreements, representations, or understandings.

11.6 No Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision unless expressly acknowledged in writing.

11.7 Headings

Section headings are for convenience only and shall not affect interpretation.

13. PRIVACY POLICY REFERENCE

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, disclose, and protect your personal information. By using the Platform, you consent to the data practices described in the Privacy Policy.

These Terms of Service are effective as of the "Last Updated" date above. Learn Tagalog encourages Users to review these Terms periodically for updates.
